Location Master Agreement
1. Equipment. Unbank owns the Bitcoin machine and owns or has the right to utilize all software needed for the operation of the Bitcoin machine. Location agrees that Unbank may install, operate, and maintain its Bitcoin machine at Location’s premises in an indoor location or locations as mutually agreed upon. Location shall provide such space for the Bitcoin machine as is necessary to enable customers to have unobstructed access to the Bitcoin machine and for maintenance and servicing.
2. Availability. Location agrees that the Bitcoin machine shall at all times remain available for use by location’s customers during location’s normal business hours for the term of this Agreement, as well as remain powered on at all times for system upgrades. Unbank reserves the right to schedule reasonable downtime to accomplish necessary maintenance or system improvements, not to exceed ten percent (10%) of available time each calendar month. Location agrees to not place or tape papers on the machine unless approved by Unbank. The Bitcoin machine can not be accidentally obstructed. For example merchandise on the machine, covering the machine, blocking the machine or making it hard to open the door of the machine on both sides.
3. Installation/Training. Unbank agrees to install the Bitcoin machine and deliver initial supplies to the location. The Bitcoin machine shall be and remain the sole property of Unbank. Location shall execute and deliver upon request documentation to put third parties on notice of Unbank’s interest in the Bitcoin machine. Unbank shall have the right to install appropriate signage at the Premises to advertise the availability of the Bitcoin machine, such signage content and location to be approved by location prior to installation.
4. Maintenance/Repair. Unbank will arrange for necessary servicing and repair of the Bitcoin machine. In the event of any Bitcoin machine failure, damage, or other problem requiring repair, replacement, adjustment, or maintenance, location shall notify Unbank or a person designated by Unbank within twenty-four (24) hours of first becoming aware of such failure or problem. Location will not permit anyone, other than an authorized representative or designee of Unbank, to perform any service or repair work on the Bitcoin machine without Unbank’s prior written approval. Unbank or its representatives shall at any reasonable time and at all times during business hours have the right to enter into and upon the Premises for the purpose of inspecting, repairing, maintaining, or upgrading the Bitcoin machine and observing its use.
5. Internet & Electrical Requirements. Location shall, at its expense, provide two (2) operating electrical power outlets (110v). Location grants Unbank access to use its internet in such case Unbank’s 4G connection is not stable.
6. Location’s Earnings. Location shall receive amount listed on the Formal Relationship Agreement payable via ACH monthly. If Location changes banking services or information, Location agrees to provide an updated account and routing number.
7. Exclusivity. Location shall not permit the removal of the Bitcoin machine from the Premises, nor allow the placement of any other Bitcoin machines on the Premises (whether inside or out). Unbank reserves the right to disconnect the power from any other Bitcoin machine on the premises.
8. Additional Locations. Merchant hereby grants Unbank first right of refusal to place Bitcoin machines in any additional Merchant owned locations. Merchant further agrees not to offer such locations to any other third party without prior written consent from Unbank.
9. Property Ownership or Lease Terms. Location represents and warrants that it is the owner of the Premises or that it holds a lease or option to renew the lease for the Premises of equal or greater length than the initial 3-year term of this Agreement.
10. Equipment Relocation. In the event that Location transfers or moves its business from the Premises, or if Location sells its business, Location shall notify Unbank not less than thirty (30) days prior to any such event. At Unbank’s option, this Agreement shall be deemed amended to apply to the purchaser of the business, new business owner. If a business moves locations, the agreement shall be amended to the new business address for the remaining term of this Agreement. The Bitcoin machine shall be placed in a mutually agreed upon indoor location. Once the machine is installed, it cannot be moved to a different area inside the business unless the Location pays a relocation fee.
11. Term. This agreement shall be for a term of 3 year/s from the date of installation unless amended or terminated by written agreement signed by both Unbank and location or terminated as set forth below. Upon the expiration of the initial term, this Agreement will automatically renew for subsequent additional terms of 1 year/s each on the same terms and conditions as provided herein unless canceled by written notice at least 180 days prior to the expiration of the term. If such cancellation does occur, the location agrees that they will not install Bitcoin machine in their location for at least 6 months after Unbank’s machine is taken out. If location decides to sell their business, the agreement continues with the new owner.
12. Termination Notice. Unbank may terminate this agreement and remove the Bitcoin machine at any time. Common reasons for removal include a breach of agreement, inadequate use of the Bitcoin machine by customers or immediately in the event of damage, destruction, vandalism, and misuse. Notwithstanding, the Merchant has the right to terminate agreement in the event of a breach by Unbank of a material provision of this Agreement and a 3 day written notice has been served by the Merchant to Unbank. All notices hereunder shall be in writing and shall be deemed given upon personal delivery or upon deposit in the United States mail, first class postage fully prepaid, return receipt requested, addressed to Unbank at their respective address as listed below. Any party may change its address for notice in accordance with the terms of this paragraph.

13. Early Termination Notice. If location decides to terminate agreement before the agreed upon term or Location intentionally obstructs or unplugs the Bitcoin machine for an extended period of time not related to repairs so that it can’t be seen or used, fees upwards of $7,500 shall apply. Fees include; A cancellation fee for armored service, a sales commission fee, a removal fee, a penalty for profit lost due to the early cancellation of the agreement and any attorney fees that Unbank might incur due to this matter.
14. Right to match. In the event this Agreement is terminated by Customer, Customer grants upon such termination to Unbank, a right to match any bona fide third party offer in connection with a competing Bitcoin machine in the premises. If Unbank is able to match such third party offer, Customer shall use Unbank as their Bitcoin machine provider. Such right shall last for the period of time that otherwise would have been the remaining portion of the Term in effect at the time of termination if no termination had occurred, and thereafter for as long as Unbank matches such third party offers.
15. Attorney Fees. If the court action is deemed in Unbank's favor, Unbank is entitled to recover legal fees from the other party, in addition to costs, such sums as the court may adjudge reasonable for legal fees at trial and in any appellate or bankruptcy proceeding.
16. Hold Harmless. Location is held harmless and has no exposure or liability regarding transactions and any business on the Bitcoin machine.
17. Disclaimer. EXCEPT AS SPECIFICALLY PROVIDED IN THIS AGREEMENT, LOCATION UNDERSTANDS AND AGREES THAT OWNER MAKES NO WARRANTY, EXPRESS, IMPLIED OR STATUTORY, AS TO ANY MATTER WHATSOEVER, INCLUDING THE CONDITION OF THE BITCOIN machine, ITS MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. OWNER SHALL IN NO EVENT BE RESPONSIBLE FOR ANY LOST PROFITS OR INCIDENTAL, CONSEQUENTIAL SPECIAL OR INDIRECT DAMAGES THAT LOCATION MAY INCUR. OWNER’S SOLE LIABILITY TO LOCATION HEREUNDER, EXCEPT AS OTHERWISE PROVIDED, SHALL BE TO REMEDY ANY BREACH OF THIS AGREEMENT IN A TIMELY MANNER. Neither party will be liable for failure to perform its obligations under this Agreement if such failure is due to acts or events beyond such party’s reasonable control.
18. Not Assignable. Location shall not assign or dispose of any of its rights or obligations under this agreement without prior written consent of Unbank. This agreement shall be binding upon location successors, representatives, heirs, executors, assigns or transferees. If any portion of this agreement is held invalid, Location agrees that the remainder of the agreement shall remain in full legal force and effect.
19. Waiver. A waiver by either party of a breach of any provision of this Agreement shall not constitute a waiver of that party’s rights to otherwise demand strict compliance with this Agreement and any and all provisions hereof.
20. Entire Agreement. This Agreement, including any schedule or exhibit attached hereto, constitutes the entire agreement of the parties with respect to the subject matter hereof. There are no other promises, representations, terms, conditions or obligations other than those contained herein. This agreement supersedes all prior communications, representations or agreements, oral or written, between the parties and shall not be modified except in writing signed by both parties.
21. Controlling Law. This Agreement shall be construed, interpreted and enforced in accordance with the laws of the state of New Jersey.
Acuerdo Principal de la Localización
1. Equipo. Unbank es propietario de la máquina de Bitcoin y posee y tiene derecho a utilizar todo el programa o software necesario para el funcionamiento de la máquina de Bitcoin. Localización acepta que Unbank puede instalar, operar y mantener la máquina de Bitcoin dentro de la Localización y ubicarla o moverla a diferentes sitios internos según lo acordado mutuamente. 2. Disponibilidad. Localización acepta que la máquina de Bitcoin permanecerá disponible en todo momento para el uso de los clientes de la ubicación durante del horario comercial normal de la ubicación por el término de este Acuerdo, así como también permanecerá encendida en todo momento para las actualizaciones del sistema. Unbank se reserva el derecho de programar un tiempo de inactividad razonable para lograr el mantenimiento necesario o las mejoras del sistema, que no exceda el diez por ciento (10%) del tiempo disponible por cada mes. Localización se compromete a no colocar ni pegar papeles en la máquina a menos que lo apruebe Unbank. La máquina de Bitcoin no se puede obstruir accidentalmente. Por ejemplo, no poner mercancía en la máquina, cubriendo la máquina, bloqueando la máquina o dificultando la apertura de la puerta de la máquina en ambos lados.

Localización ejecutará y entregará, previa solicitud, la documentación para notificar a terceros sobre el interés de Unbank en la máquina de Bitcoin. Unbank tendrá derecho a instalar los rótulos adecuados en la ubicación para anunciar la disponibilidad de la máquina de Bitcoin, dicho contenido de los rótulos y la ubicación serán aprobados por la Localización antes de la instalación.
4. Mantenimiento/Reparación. Unbank se encargará del servicio y las reparaciones necesarias para la máquina de Bitcoin. En el caso de cualquier falla, daño u otro problema en la máquina de Bitcoin que requiera reparación, reemplazo, ajuste o mantenimiento, Localización deberá notificar a Unbank o a una persona designada por Unbank dentro de las veinticuatro (24) horas al encontrar dicha falla o problema. Todo el mantenimiento y los daños a la máquina de Bitcoin estarán cubiertos en su totalidad por el proveedor de seguros de Unbank. Localización no permitirá que nadie, que no sea un representante autorizado o una persona designada por Unbank, realice ningún trabajo de servicio o reparación en la máquina de Bitcoin sin la aprobación previa por escrito de Unbank. Unbank o sus representantes tendrán, en cualquier momento razonable y en todo momento durante el horario comercial, el derecho de ingresar a las Instalaciones con el fin de inspeccionar, reparar, mantener o actualizar la máquina de Bitcoin y observar su uso.
5. Requisitos eléctricos y de Internet. Localización deberá, a su cargo, proporcionar dos (2) tomas de corriente eléctrica en funcionamiento (110v). Localización le da derecho a Unbank para usar su conexión de Internet, si el Internet de Unbank de 4G no está funcionando.
6. Ganancias de la Ubicación. Localización recibirá la cantidad de dinero que figura en el Formulario de colocación de quiosco pagadero a través de ACH mensualmente.
7. Exclusividad. Localización no permitirá remover la máquina de Bitcoin de las instalaciones, ni permitirá la colocación de ninguna otra máquina de Bitcoin en las instalaciones (ya sea adentro o afuera). Unbank se reserva el derecho de desconectar la energía de cualquier otra máquina de Bitcoin en las instalaciones.
8. Ubicaciones Adicionales. El Comerciante otorga a Unbank el primer derecho de negarse a colocar máquinas de Bitcoin en cualquier ubicación adicional propiedad del Comerciante. El Comerciante también acepta no ofrecer dichos lugares a ningún otro tercero sin el consentimiento previo por escrito de Unbank.
9. Propiedad del Comerciante o Términos de Arrendamiento. Localización declara y garantiza que es el propietario del negocio o que tiene un contrato de arrendamiento u opción para renovar el contrato de arrendamiento de las Instalaciones por una duración igual o mayor que el plazo inicial de 3 años de este Acuerdo
10. Reubicación de Equipos. En el caso de que Localización transfiera o traslade su negocio de las instalaciones, o si la ubicación vende su negocio, Localización deberá notificar a Unbank por lo menos treinta (30) días antes de cualquier evento. A opción de Unbank, este Acuerdo se considerará modificado para aplicarse a la nueva dirección comercial de la ubicación durante el plazo restante de este Acuerdo. La máquina de Bitcoin se colocará en un lugar interior acordado mutuamente. Una vez que se instala la máquina, no se puede mover a una área diferente dentro del negocio a menos que la ubicación pague una tarifa por moverla.
11. Término. Este contrato tendrá una duración de 3 años a partir de la fecha de la instalación, a menos que se modifique o se finalice mediante un acuerdo escrito firmado por Unbank y Localización o que se finalice como se establece a continuación. Al vencimiento del plazo inicial, este Acuerdo se renovará automáticamente por períodos adicionales subsiguientes de 1 año/s cada uno con los mismos términos y condiciones que se estipulan en el presente, a menos que se cancele mediante notificación por escrito al menos 90 días antes del vencimiento del plazo. Si se produce dicha cancelación, Localización acepta que no instalará la máquina de Bitcoin en su ubicación durante al menos 2 años después de que se retire la máquina de Bitcoin. Si Localización decide vender su negocio, el Acuerdo continúa con el nuevo propietario del negocio.
12. Aviso de Terminación. Unbank puede cancelar este acuerdo y retirar la máquina de Bitcoin en cualquier momento. Las razones comunes para la eliminación incluyen incumplimiento de contrato, uso inadecuado de la máquina de Bitcoin por parte de los clientes o inmediatamente en caso de daño, destrucción, vandalismo y uso indebido. No obstante, Localización tiene derecho a cancelar el contrato en caso de incumplimiento por parte de Unbank de una disposición material de este Acuerdo y Localización haya enviado un aviso por escrito de 3 días a Unbank. Todas las notificaciones a continuación se realizarán por escrito y serán entregadas personalmente o mediante primera clase por el correo de los Estados Unidos, totalmente prepago, y ser firmado como que lo recibió, dirigida a Unbank a su dirección que se indica a continuación. 13. Aviso de Terminación Anticipada. Si Localización decide cancelar el contrato antes del plazo acordado o si Localización obstruye intencionalmente o desconecta la máquina de Bitcoin por mucho tiempo no relacionados con reparaciones para que no se pueda ver o usar, se aplicarán ciertas tarifas. Localización deberá reembolsar todo el alquiler acumulado durante el plazo a Unbank. Otras tarifas incluyen; Una tarifa de cancelación por servicio blindado, una tarifa de comisión de venta, una tarifa de retiro, una penalización por lucro cesante debido a la cancelación anticipada del contrato y los honorarios de abogados en los que Unbank pueda incurrir por este asunto.
14. Derecho de Coincidencia. En caso de que este Acuerdo sea terminado por Localización, Localización le otorga a Unbank, al momento de dicha cancelación, el derecho de igualar cualquier oferta de competencia con una máquina de Bitcoin en las instalaciones. Si Unbank puede igualar dicha oferta de terceros, Localización utilizará Unbank como su proveedor de máquina de Bitcoin. Dicho derecho durará por el período de tiempo que, de lo contrario, habría sido la parte restante del plazo vigente en el momento de la cancelación si no se hubiera producido la cancelación, y posteriormente mientras Unbank iguale dichas ofertas de terceros.
15. Honorarios de Abogados. Si se inicia una demanda o acción para hacer cumplir o interpretar cualquiera de los términos de este Acuerdo, la parte vencedora tendrá derecho a recuperar de la otra parte, además de los gastos, las sumas que el tribunal considere razonables para los honorarios legales en el juicio y en cualquier procedimiento de apelación o quiebra.
16. Exonerar de Responsabilidad. Localización se mantiene indemne y no tiene exposición ni responsabilidad con respecto a las transacciones y cualquier negocio en la máquina de Bitcoin.
17. Descargo de Responsabilidad. A EXCEPCIÓN DE LO ESPECÍFICAMENTE DISPUESTO EN ESTE CONTRATO, LOCALIZACIÓN ENTIENDE Y ACEPTA QUE EL PROPIETARIO NO OFRECE NINGUNA GARANTÍA, EXPRESA, IMPLÍCITA O ESTATUTARIA, SOBRE CUALQUIER ASUNTO, INCLUYENDO LA CONDICIÓN DE LA MÁQUINA DE BITCOIN, SU COMERCIABILIDAD O IDONEIDAD PARA CUALQUIER PROPÓSITO EN PARTICULAR. EL PROPIETARIO EN NINGÚN CASO SERÁ RESPONSABLE POR LA PÉRDIDA DE BENEFICIOS O DAÑOS INCIDENTALES, CONSECUENCIALES, ESPECIALES O INDIRECTOS QUE LA UBICACIÓN PUEDE SUFRIR. LA ÚNICA RESPONSABILIDAD DEL PROPIETARIO CON LA UBICACIÓN EN VIRTUD DEL PRESENTE, SALVO QUE SE ESTABLEZCA DE OTRA MANERA, SERÁ SOLUCIONAR CUALQUIER INCUMPLIMIENTO DE ESTE ACUERDO DE MANERA OPORTUNA. Ninguna de las partes será responsable por el incumplimiento de sus obligaciones en virtud de este Acuerdo si dicho incumplimiento se debe a actos o eventos fuera del control razonable de dicha parte.
18. No Es Transferible. Localización no podrá ceder ni disponer de ninguno de sus derechos u obligaciones en virtud de este Acuerdo sin el consentimiento previo por escrito de Unbank. Este Acuerdo será vinculante para los sucesores, representantes, heredero, albaceas, y cesionarios. Si alguna parte de este Acuerdo se considera invalido, Localización acepta que el resto del acuerdo permanecerá en pleno vigor yen efecto legal.
19. Renuncia. Una renuncia por cualquiera de las partes de un incumplimiento de cualquier disposición de este Acuerdo no constituirá una renuncia a los derechos de esa parte para exigir el cumplimiento estricto de este Acuerdo y todas y cada una de las disposiciones del mismo.
20. Acuerdo Completo. Este Acuerdo, incluyendo cualquier programa o anexo adjunto al mismo, constituye el Acuerdo completo de las partes con respecto al objeto del mismo. No hay otras promesas, representaciones, términos, condiciones u obligaciones distintas de las contenidas en este documento. Este Acuerdo reemplaza todas las comunicaciones, representaciones o acuerdos anteriores, orales o escritos, entre las partes y no se modificará excepto por escrito firmado por ambas partes.
21. Ley de Control. Este Acuerdo se entenderá, interpretará y aplicará de acuerdo con las leyes del estado de New Jersey.
